1. Parties and Scope
1.1 About BetterClinic
These Terms and Conditions (“Terms”) govern your access to and use of the services provided by BetterClinic Pte Ltd (UEN: 202552709K), a company incorporated in Singapore with its registered office at 160 Robinson Road, #14-04 Singapore Business Federation Center, Singapore 068914 (“BetterClinic”, “we”, “us”, or “our”), including the BetterClinic platform, mobile application, website (betterclinic.ai), and all related services (collectively, the “Service”).
1.2 Who These Terms Apply To
In these Terms, “you” or “your” refers to the licensed physician who registers for and uses the Service. By accessing or using the Service, you confirm that you are a licensed medical professional and agree to be bound by these Terms.
1.3 Commencement
These Terms take effect on the earlier of: (i) the date you create an account; (ii) the date you begin a free trial; or (iii) the date we process your first payment.
2. Description of the Service
2.1 What BetterClinic Does
BetterClinic is an ambient AI medical scribe platform. The Service:
- Records audio from physician-patient consultations where the Patient has provided informed consent;
- Transcribes consultation audio into text, then permanently deletes the audio;
- Generates structured clinical documents using artificial intelligence, including SOAP notes, medical summaries, prescriptions, medical certificates, differential diagnoses, and PhilHealth claim abstracts (CF4) with ICD-10 and RVS codes; and
- Enables Practitioners to review, edit, and finalise all generated documents before use.
2.2 Differential Diagnosis Feature
The Service includes a Differential Diagnosis feature (“Differentials”) that organises clinical findings into structured diagnostic reasoning using a three-tier labelling system:
- Tier 1 — Confirmed by Physician: Diagnoses explicitly confirmed by the Practitioner. These flow into official clinical documents.
- Tier 2 — Physician-Suggested: Conditions the Practitioner raised as possibilities. These appear in Assessment sections with the Practitioner’s qualifying language preserved.
- Tier 3 — AI-Derived Working Differential: Conditions identified by the AI from documented clinical findings that the Practitioner did not name. These are architecturally confined to the Differentials tab and never appear in any other clinical document.
Tier 3 outputs are informational reference aids only. They do not constitute clinical decision support, diagnoses, or treatment recommendations. The Practitioner retains sole discretion over whether to consider, adopt, or disregard any AI-derived differential.
2.3 What BetterClinic Does Not Do
The Service is a documentation and clinical reasoning organisation tool. BetterClinic:
- Does not provide clinical decision support that directly informs or overrides physician judgement at the point of care;
- Does not replace the clinical judgement of the Practitioner;
- Does not guarantee the accuracy, completeness, or suitability of any AI-generated content;
- Does not propagate AI-derived differentials into official clinical records, coding, prescriptions, or certificates; and
- Is not a medical device and is not intended to fall within the regulatory scope of clinical decision support software.
3. Account Registration and Security
3.1 Account Requirements
To use the Service, you must create an account by providing accurate, current, and complete information, including your name, email address, and medical licence number.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us immediately at support@betterclinic.ai of any unauthorised use.
3.3 No Account Sharing
Your account is personal to you. You may not permit any other person to use your account or share your login credentials.
4. Subscription and Payment
4.1 Subscription Plans
The Service is offered on a subscription basis. Current plans, pricing, session limits, and features are published on betterclinic.ai. All prices are denominated in Philippine Pesos (₱) unless otherwise indicated.
4.2 Free Trial
New users receive thirty (30) free consultation sessions upon registration. Additional free sessions may be earned through our referral programme (thirty (30) sessions per successful referral).
4.3 Payment
Subscription fees are payable in advance via betterclinic.ai. Payments are processed by Stripe, Inc. BetterClinic does not store your full payment card details.
4.4 Overage
Sessions exceeding your plan’s monthly allocation are charged at the applicable overage rate published on our website.
4.5 Fee Changes
We may change subscription fees with at least thirty (30) days’ prior written notice. Changes will not apply retroactively.
4.6 No Refunds
Subscription fees are non-refundable except where: (i) we withdraw the Service, in which case you will receive a pro rata refund; or (ii) otherwise required by applicable law.
5. Patient Consent Obligations
5.1 Your Consent Obligation
You, as the Practitioner, are solely responsible for obtaining adequate informed consent from each Patient before recording any consultation using the Service.
5.2 The Patient Consent Protocol
Before initiating any recording session, you must follow the BetterClinic Patient Consent Protocol, which constitutes the minimum standard of consent compliance under these Terms:
- Initiation: Open the BetterClinic app and initiate a new recording session.
- Consent Notice: Before the recording begins, read or present the Patient Consent Notice to the Patient, informing them that: (i) the consultation will be recorded; (ii) the audio will be transcribed by an AI system and then permanently deleted; (iii) the transcript will be used to generate clinical documents including notes, prescriptions, medical certificates, and PhilHealth claim abstracts; (iv) clinical documents are accessible only to you as their physician; and (v) their information will not be sold or disclosed outside their clinical care.
- Patient Choice: Explicitly offer the Patient the option to accept or decline. There is no default acceptance. The Patient must affirmatively agree before recording begins.
- If Accepted: Begin the recording session. The opening of the transcript will capture your delivery of the consent notice and the Patient’s verbal acceptance. This Consent Transcript is the electronic record of the Patient’s consent and satisfies the documented consent requirement under the Philippine Data Privacy Act.
- If Declined: Cancel the recording session immediately. No audio is recorded, no transcript is generated, and no Patient data is collected or retained. Where no data is collected, no privacy obligation is triggered.
5.3 Consent Transcript as Legal Record
You acknowledge that the Consent Transcript — the opening portion of each session transcript capturing your delivery of the consent notice and the Patient’s verbal acceptance — constitutes the electronic record of Patient consent for that session, in accordance with NPC Circular No. 2023-04 (Guidelines on Consent), which accepts consent evidenced by electronic or recorded means.
5.4 Accuracy of Consent Notice
You must not misrepresent the scope of data collection or processing to the Patient. In particular, you must not represent to the Patient that their data will be held exclusively by you, as the audio is processed by BetterClinic’s AI systems prior to deletion. The Patient Consent Notice provided by BetterClinic accurately reflects the data processing that occurs.
5.5 Declined Sessions
If a Patient declines consent, you must not record the consultation using the Service. Where the session is cancelled before any recording commences, no data is collected and no privacy obligation arises. You are not required to maintain a log of declined sessions.
6. Acceptable Use
6.1 Permitted Use
You may use the Service solely for the purpose of generating clinical documentation in connection with your lawful practice of medicine.
6.2 Prohibited Conduct
You agree not to:
- Use the Service for any illegal, fraudulent, or unethical purpose;
- Record any individual without their prior informed consent in accordance with Section 5;
- Input false, misleading, or fabricated clinical information into the Service;
- Attempt to manipulate AI outputs to generate false diagnoses, prescriptions, or medical certificates;
- Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service;
- Use the Service in a manner that violates applicable medical ethics, professional regulations, or data protection laws;
- Share, resell, or sublicense access to the Service; or
- Use the Service in any jurisdiction where such use is prohibited by law.
7. AI-Generated Content — Disclaimers and Responsibilities
7.1 Nature of AI Output
The Service uses artificial intelligence to generate clinical documentation from consultation transcripts. AI-generated content:
- May contain errors, omissions, or inaccuracies;
- May not fully capture all clinical nuances of a consultation;
- Is produced by machine learning models that are not infallible; and
- Should be treated as a draft requiring professional review and approval.
7.2 Practitioner Responsibility
You are solely responsible for reviewing, editing, verifying, and approving all AI-generated documents before use, filing, submission, or distribution. Without limiting the foregoing, you are responsible for:
- Verifying all diagnoses, ICD-10 codes, and RVS codes in PhilHealth abstracts;
- Confirming the accuracy of all prescriptions, including drug names, dosages, and frequencies;
- Ensuring medical certificates accurately reflect your clinical findings;
- Reviewing SOAP notes for completeness and accuracy before incorporating them into medical records; and
- Exercising independent clinical judgement when reviewing the Differentials document, including verifying the appropriateness of any AI-derived working differentials before considering them in your clinical reasoning.
7.3 No Medical Advice
Nothing in the Service constitutes medical advice, a diagnosis, or a treatment recommendation. The Service does not replace, supplement, or override the clinical judgement of the Practitioner.
7.4 Differential Diagnosis Output — Special Provisions
You acknowledge and agree to the following with respect to the Differentials feature:
- Informational Aid Only: The Differentials document, including all Tier 3 AI-derived working differentials, is an informational reference aid. It does not constitute a diagnosis, clinical recommendation, or clinical decision support.
- Architectural Separation: Tier 3 AI-derived differentials are architecturally confined to the Differentials tab. They are never propagated to the Summary, SOAP, PhilHealth Abstract, ICD-10 or RVS coding, Prescriptions, or Medical Certificate.
- Practitioner Discretion: You have sole and absolute discretion over whether to consider, adopt, or disregard any AI-derived differential. If you choose to adopt one, you must independently verify it through your own clinical judgement before incorporating it into any document.
- No Reliance: You must not rely on Tier 3 AI-derived differentials as a substitute for your own clinical assessment or medical training.
- No Liability: BetterClinic shall have no liability for any loss, injury, claim, or damage arising from your decision to adopt, rely upon, or disregard any AI-derived differential.
8. Intellectual Property
8.1 BetterClinic IP
All intellectual property rights in the Service, including the platform, software, algorithms, models, and branding, are and remain the exclusive property of BetterClinic or its licensors.
8.2 Licence to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for the duration of your subscription, solely for generating clinical documentation in connection with your medical practice.
8.3 Your Content
You retain ownership of all clinical content you create, including the final versions of documents you review and approve. You grant BetterClinic a non-exclusive licence to process your content solely for the purpose of providing and improving the Service, including using de-identified and aggregated data for analytics.
9. Data Protection
Our collection, use, and protection of personal data is governed by our Privacy Policy, available at betterclinic.ai/privacy. Where the Service processes Patient health data on your behalf, BetterClinic acts as a data processor under the Singapore PDPA and the Philippine Data Privacy Act, and processes such data only in accordance with your instructions and applicable law.
10. Service Availability and Modifications
10.1 Availability
We use commercially reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation.
10.2 Modifications
We may modify or update features of the Service at any time. Material changes will be communicated with reasonable prior notice.
10.3 Suspension of Access
We reserve the right to suspend your access immediately if we reasonably believe you have breached these Terms or if necessary to comply with applicable law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
To the maximum extent permitted by law, BetterClinic disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and warranties regarding the accuracy of AI-generated content.
12. Limitation of Liability
12.1 Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, BetterClinic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
12.2 Cap on Liability
Our total aggregate liability for any and all claims shall not exceed the total fees paid by you to BetterClinic in the twelve (12) months immediately preceding the event giving rise to the claim.
12.3 Clinical Liability
BetterClinic is not liable for any clinical, diagnostic, or treatment decisions made by the Practitioner. You bear full responsibility for the clinical content of any document you approve and use.
13. Indemnification
You agree to indemnify, defend, and hold harmless BetterClinic, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising out of or related to:
- Your use of the Service;
- Your breach of these Terms;
- Your failure to obtain adequate Patient consent in accordance with Section 5;
- Any claim arising from clinical documents you approve and use;
- Your violation of any applicable law, regulation, or professional standard; and
- Any claim by a Patient relating to your use of the Service.
14. Termination
14.1 Termination by You
You may cancel your subscription at any time through your account settings or by emailing support@betterclinic.ai. Cancellation takes effect at the end of your current billing period.
14.2 Termination by BetterClinic
We may terminate or suspend your account immediately if you materially breach these Terms, or with thirty (30) days’ notice if we discontinue the Service.
14.3 Effect of Termination
Upon termination, your licence to use the Service ceases. We will delete your personal data within ninety (90) days, except where retention is required by law. Sections 7, 8, 11, 12, 13, 15, and 17 survive termination.
15. Dispute Resolution
15.1 Negotiation
The parties agree to first attempt to resolve any dispute through good-faith negotiation within thirty (30) days of written notice.
15.2 Mediation
If unresolved, either party may refer the dispute to mediation administered by the Singapore Mediation Centre (SMC).
15.3 Arbitration
If still unresolved, the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC), seated in Singapore, conducted in English.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and other policies referenced herein, constitute the entire agreement between you and BetterClinic regarding the Service.
16.2 Amendments
We may amend these Terms with at least thirty (30) days’ prior notice. Continued use after the effective date constitutes acceptance.
16.3 Severability
If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.

All notices to us should be sent to legal@betterclinic.ai.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Singapore. Subject to the dispute resolution provisions in Section 15, the courts of Singapore shall have exclusive jurisdiction.
